1. About These Terms

These Terms of Use ("Terms") govern your access to and use of the SunKazi platform, website, and services operated by Khakali Technologies SMC Ltd ("SunKazi", "we", "us"). By registering, accessing our website, or using our services, you agree to these Terms.

If you do not agree with any part of these Terms, you must not use our services.

2. Eligibility

To use the SunKazi platform you must:

• Be at least 18 years of age.
• Be resident in a country where SunKazi is currently active (Uganda, Rwanda) or on our waiting list (Kenya, Tanzania).
• Have a valid, registered mobile money account.
• Provide accurate identity and business information during registration.

3. Registration and Your Account

When you register with SunKazi, you must provide complete and accurate information. You are responsible for keeping your account information up to date. You must not share your account credentials with any other person. We reserve the right to suspend or close accounts where information is found to be inaccurate, incomplete, or fraudulent.

4. The PAYGo Financing Agreement

SunKazi provides solar equipment on a Pay-As-You-Go (PAYGo) basis. The specific terms of your equipment financing — including the equipment type, daily/weekly/monthly payment amount, total financing cost, and ownership transfer conditions — are set out in a separate PAYGo Agreement provided to you at the time of onboarding.

Key points of the PAYGo arrangement:

• Equipment remains the property of Khakali Technologies SMC Ltd until all payments have been made in full.
• Payments are made via mobile money (MTN MoMo or Airtel Money) on the schedule agreed at sign-up.
• Missed payments may result in temporary restriction of equipment use after a grace period, as specified in your PAYGo Agreement.
• You are responsible for the safe custody and reasonable maintenance of the equipment from the point of delivery.
• Upon completion of all payments, full ownership of the equipment transfers to you.

5. Acceptable Use

You agree to use SunKazi services only for lawful purposes and in accordance with these Terms. You must not:

• Provide false, misleading, or fraudulent information at any point.
• Tamper with, modify, or attempt to circumvent any equipment or platform feature.
• Transfer, sell, or pledge equipment that is still under a PAYGo Agreement without our written consent.
• Use the platform to facilitate money laundering, fraud, or any other illegal activity.
• Attempt to gain unauthorised access to any part of our systems or data.

6. Our Obligations

SunKazi commits to:

• Delivering the agreed equipment within the timeframe specified in your PAYGo Agreement.
• Providing basic installation and training at the point of delivery.
• Offering after-sales support and maintenance through our field agent network.
• Processing ownership transfer promptly upon completion of all agreed payments.
• Treating your personal data in accordance with our Privacy Policy.

7. Limitation of Liability

To the fullest extent permitted by applicable law, SunKazi and Khakali Technologies SMC Ltd shall not be liable for:

• Indirect, incidental, or consequential losses arising from your use of the platform or equipment.
• Loss of income, profits, or business opportunities caused by equipment downtime, provided we respond to fault reports within a reasonable time.
• Losses arising from circumstances beyond our reasonable control (force majeure), including floods, grid failures, civil unrest, or mobile network outages.

Nothing in these Terms excludes or limits our liability for death, personal injury, or fraud.

8. Intellectual Property

All content on the SunKazi website and platform — including text, graphics, logos, software, and trademarks — is the property of Khakali Technologies SMC Ltd or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our written consent.

9. Termination

We may suspend or terminate your account if you breach these Terms, fail to make payments as agreed, or if we are required to do so by law. You may close your account at any time by contacting us, provided all outstanding payments under your PAYGo Agreement have been settled. Termination does not affect any rights or obligations that have already accrued.

10. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Uganda. Any dispute arising out of or relating to these Terms or your use of our services shall first be referred to mediation. If mediation fails, disputes shall be resolved by the courts of Uganda, which shall have exclusive jurisdiction.

For customers in Rwanda, disputes may also be referred to the competent courts of Rwanda in accordance with applicable Rwandan law.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via SMS or a prominent notice on our website at least 14 days before the changes take effect. Your continued use of our services after that date constitutes acceptance of the revised Terms.
